Welcome to ECI Engineering. These Terms and Conditions govern your use of our services and website. By accessing or engaging with ECI Engineering, you agree to be bound by these terms.
1. Definitions
- “Company”, “We”, “Us”, or “Our” refers to ECI Engineering.
- “Client”, “You”, or “Your” refers to the individual or entity engaging our consultancy services.
- “Services” refers to all electrical, control and instrumentation engineering consultancy provided by us.
2. Scope of Services
ECI Engineering provides professional consultancy in electrical engineering, control systems, instrumentation, automation, and related fields. All services will be provided as described in our proposal or agreement and are subject to these terms.
3. Quotations & Fees
All quotes are valid for 30 days from the date of issue unless stated otherwise. Fees are based on agreed deliverables and timelines. Any variations or additional services will be billed separately and must be approved by the client in writing.
4. Payment Terms
Invoices must be paid within [e.g. 14 or 30] days of issue. Late payments may attract interest at [e.g. 2% per month] and/or result in suspension of ongoing services.
5. Intellectual Property
All documents, drawings, software, and reports created by ECI Engineering remain our intellectual property unless otherwise agreed. The client is granted a non-exclusive, non-transferable license to use the deliverables for the project purposes only.
6. Confidentiality
Both parties agree to keep all confidential information private and not disclose it to third parties without written consent, except as required by law.
7. Liability & Warranty
ECI Engineering will perform services with reasonable skill and care in accordance with professional standards. We are not liable for:
- Loss of profits, data, or business opportunities.
- Issues arising from third-party services or unforeseen site conditions.
Liability is limited to the value of the fees paid for the specific service in question.
8. Force Majeure
We are not liable for delays or failures in performance due to events beyond our reasonable control, including natural disasters, strikes, pandemics, or government actions.
9. Termination
Either party may terminate the agreement with [e.g. 14 days] written notice. Outstanding work completed up to the termination date will be billed accordingly.
10. Governing Law
These Terms and Conditions are governed by the laws of Western Australia, Australia. Any disputes will be subject to the exclusive jurisdiction of its courts.
11. Changes to Terms
We reserve the right to update these terms at any time. Continued use of our services implies acceptance of the latest terms.
